| Notes
For Sino-foreign equity JV and Sino-foreign cooperative JV,
a contract is required to set out the rights and
responsibilities for each party. In case of inconsistency
between the contract and the Articles of Association, the
contract shall prevail over the Articles.
A wholly (solely) foreign owned enterprise (WFOE), on the
other hand, does not need to have any contract. Only Articles
of Association are required for a WFOE. The PRC for the
Sino-foreign equity joint venture enterprises, the PRC law for
the Sino-foreign cooperative joint venture enterprises, and
the PRC law for wholly foreign owned enterprises prescribe
certain clauses that the Articles of Association must
contain. |
